Welcome to Mesonsoft. These Terms of Use (“Terms”) govern your access to and use of the websites, products, and artificial-intelligence services provided by Mesonsoft (“we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

1. Description of Services

Mesonsoft provides agentic AI workflows, large language model (LLM) integration, fine-tuning, retrieval-augmented generation (RAG) systems, and related consulting and software development services. The specific features and deliverables applicable to you are described in your applicable order form, statement of work, or service agreement.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use our services. If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Acceptable Use

You agree not to:

  • Use the services in violation of any applicable law or regulation, including the EU AI Act and other AI-specific legislation;
  • Generate, promote, or distribute harmful, fraudulent, deceptive, discriminatory, or infringing content;
  • Attempt to discover, extract, or replicate our models, prompts, system architecture, or trade secrets, including by scraping model outputs to train competing models;
  • Bypass, disable, or circumvent safety filters, rate limits, or usage restrictions;
  • Interfere with or disrupt the integrity or performance of the services.

4. AI-Generated Outputs

Our services may produce AI-generated content. Due to the nature of machine learning, outputs may be inaccurate, incomplete, or not unique. Outputs are not professional advice and must not be relied upon as legal, medical, financial, or other professional guidance. You are responsible for reviewing all outputs before use and for ensuring appropriate human oversight of consequential decisions.

5. Intellectual Property

We retain all rights, title, and interest in the services, including our models, software, and content. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the services and the outputs you generate during your use, in accordance with your service agreement. You retain rights to the content you submit to the services (“User Content”).

6. User Content

You are responsible for your User Content and for ensuring you have all necessary rights to submit it. We may use User Content only as needed to provide the services and as described in our Privacy Policy.

7. Third-Party Services

The services may integrate with third-party platforms (such as LLM providers and cloud services). Your use of those platforms is subject to their own terms, and we are not responsible for third-party services or content.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESONSOFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Mesonsoft and its affiliates from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the services, your User Content, or your violation of these Terms.

11. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least fifteen (15) days’ notice by email or through the services before the new Terms take effect. Continued use of the services after changes take effect constitutes acceptance.

12. Termination

We may suspend or terminate your access to the services for violation of these Terms or for any lawful reason, with or without notice. Upon termination, the license granted to you ends, but the provisions of these Terms that by their nature should survive will survive.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles. The state and federal courts located in Virginia shall have exclusive jurisdiction over any dispute arising from these Terms.
